We also offer guidance on the registration procedures and the necessary documentation required for each type of business.

Private Limited Company

This is the most common business entity in Kenya, where the liability of shareholders is limited to their capital contributions. It can have a minimum of one and a maximum of 50 shareholders, and it is suitable for small to medium-sized businesses.

Company Limited by Guarantee

This type of company is usually set up for non-profit purposes, such as a charity or a club, where its members act as guarantors and contribute towards the company's debts. Its profits are reinvested into the company, and it cannot distribute dividends to its members.

Public Limited Company

A public limited company is a large business entity with the ability to sell shares to the public, and its liability is also limited to its capital. It is regulated by the Capital Markets Authority and has more stringent legal requirements than private limited companies.

NGO

An NGO is a non-profit organization that operates independently of any government, and it is usually established for humanitarian, environmental, or advocacy purposes. NGOs are regulated by the NGO Coordination Board and are required to register and report their activities.

Partnerships

Partnerships are formed when two or more individuals come together to carry on a business, and the profits and losses are shared among them. The partners' liability is unlimited, and they are personally responsible for the debts and obligations of the partnership. There are three types of partnerships in Kenya: general partnership, limited partnership, and limited liability partnership.
